Terms of Service

By accessing or using any part of the Services, you confirm that you've read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you use the Services on behalf of a business, you represent that you're authorized to bind it, and "you" refers to that business.

We may revise these Terms from time to time by posting an updated version. Where changes are material we'll make reasonable efforts to let you know. Your continued use of the Services after changes take effect constitutes acceptance.

SuperBooks is an AI-assisted accounting and bookkeeping product. It connects to the financial accounts you authorize through Plaid, imports and organizes your transactions and documents, helps you categorize and reconcile them, and generates books, reports, and invoices. Where you enable it, SuperBooks can also help you collect payment on the invoices you send. We may add, change, or remove features over time.

• —You can sign in with an email and password, a one-time magic link we email you, or your Google or Apple account. Two-factor authentication is available for added protection.
• —You must provide accurate, current, and complete information when you register, and keep it up to date.
• —You're responsible for all activity under your account and for keeping your credentials confidential. Tell us promptly at support@superbooks.io if you suspect unauthorized use.
• —You must be old enough to form a binding contract in your jurisdiction to use the Services.
• —We may suspend or terminate accounts we reasonably believe are inaccurate, abusive, or in breach of these Terms.

SuperBooks is a software tool that helps you organize your finances. It is not an accountant, bookkeeper, auditor, tax preparer, or financial or legal advisor, and using it does not create any such professional relationship.

When you connect a financial account through Plaid, you authorize SuperBooks to retrieve read-only information — transactions, balances, and account details — to provide the Services. SuperBooks does not move money, initiate payments, or make changes to your accounts.

You represent that you own or are authorized to connect each account you add, and you can disconnect any account at any time from your settings.

As between you and us, you own the financial data, documents, books, and content you submit to the Services (Your Data). You grant us a worldwide, non-exclusive license to host, process, and transmit Your Data solely to provide and maintain the Services and as described in our Privacy Policy.

You're responsible for having the rights and any necessary permissions to provide Your Data, including documents and information about third parties such as your customers or vendors.

You agree not to, and not to allow anyone else to:

• —Connect accounts you don't own or aren't authorized to access, or submit data you don't have the right to provide.
• —Use the Services for fraud, money laundering, or any unlawful or deceptive purpose.
• —Reverse-engineer, decompile, or attempt to extract source code from the Services, except to the extent permitted by law.
• —Resell, sublicense, or commercially exploit the Services except as expressly permitted.
• —Probe, scan, or test the vulnerability of the Services, or breach or circumvent their security or authentication, without authorization.
• —Interfere with or disrupt the integrity or performance of the Services, or attempt to access data that isn't yours.

Some features use AI models to interpret your transactions and documents — for example to suggest categories, extract data from receipts, or answer questions about your books. Their outputs are probabilistic and may be inaccurate or incomplete; treat them as assistance, not as a guarantee, and review them before relying on them. You remain responsible for your books and decisions.

SuperBooks helps you keep your books, but the accuracy and completeness of your records, and any tax or regulatory filings based on them, remain your responsibility. Imported data depends on your financial institutions and on Plaid, and may be delayed, incomplete, or occasionally incorrect.

SuperBooks lets you create and send invoices. If you enable invoice payments, you connect your own Stripe account (through Stripe Connect) so your customers can pay you. That connection, and any payouts, are governed by your agreement with Stripe, and you're responsible for the fees, taxes, refunds, and disputes associated with the payments you collect.

Except for Your Data, the Services and all related software, design, text, graphics, and trademarks are owned by 14930398 Canada Inc. or its licensors and are protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose. You may not remove proprietary notices or use our marks without prior written permission.

If you send us ideas or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose, with no obligation to you.

• —SuperBooks offers paid Starter and Pro subscriptions, billed monthly or annually. Current prices and what's included are shown on our pricing page and before you purchase; you're responsible for applicable taxes.
• —Subscriptions are billed through our payment providers, RevenueCat and Stripe; your use of their services is subject to their terms.
• —Where we offer a free trial, it gives you full access for the stated period and may convert to a paid plan unless you cancel beforehand; we'll make the terms clear at sign-up.
• —Paid plans renew automatically each billing cycle until you cancel, and you authorize us to charge your payment method on a recurring basis.
• —You can cancel anytime; cancellation stops future renewals, and you keep paid access until the end of the current period. Except where required by law, fees already paid are non-refundable.
• —We may change pricing on a prospective basis and will give reasonable notice of changes that affect an active subscription.

The Services connect to third-party products — such as your financial institutions and Plaid, our payment providers (RevenueCat and Stripe), and Google for AI processing and sign-in — and may link to external sites. We don't control those and aren't responsible for them; your use of them is at your own risk and subject to their terms.

The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any imported data, categorization, calculation, or report will be accurate or complete.

To the maximum extent permitted by law, 14930398 Canada Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services — including any loss arising from inaccurate data, a missed categorization, or reliance on a report. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the event giving rise to the claim. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

You agree to indemnify and hold harmless 14930398 Canada Inc. and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Data, the accounts you connect, or your breach of these Terms or of applicable law.

You may stop using the Services and close your account at any time, and you can export Your Data beforehand. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. On termination, your right to use the Services ends; sections that by their nature should survive — such as intellectual property, disclaimers, liability limits, and indemnification — will survive.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located in Ontario for any dispute, except where mandatory local law gives you other rights.

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Services.
